  • A minimum of 8 years of relevant post-qualification experience, gained in a respected commercial law firm or in-house position
  • experience in diverse legal fields, preferably with exposure to infrastructure or regulated industries
  • company secretarial experience would be advantageous, but is not a pre-requisite
  • experience within Insurance as Company Secretary
  • experience within FS/Banking as Company Secretary
  • qualified Company Secretary - would be ideal

Responsibility


  • supporting the chair in ensuring the board functions efficiently and effectively
  • maintaining good shareholder relations and keeping the board informed on shareholders' views
  • monitoring changes in relevant legislation and the regulatory environment and taking action accordingly
  • overseeing the day-to-day administration of the company, e.g
  • guiding the chair and board on their responsibilities under all procedural and governance related rules and regulations to which they are subject and how those responsibilities should be fulfilled, including making recommendations in relation to best practice
  • ensuring good information flows within the board and its committees and between senior management and non-executive directors, as well as facilitating inductions and assisting with professional development as required
  • developing and overseeing the systems that ensure that the company complies with all applicable codes, in addition to its legal and statutory requirements
  • maintaining statutory books, including registers of members, directors and secretaries, organising board meetings, filing annual returns at Companies House, updating the Company delegations tracker, preparing agendas and taking minutes
  • having responsibility for insurance and share registration and ensuring the security of the company’s legal documents, including for example, the certificate of incorporation and memorandum and articles of association
  • our Board currently consists of two elected Councillors and two non-executive directors who work alongside Company Officers to deliver the Companies objectives. The Company vision is to now grow beyond our current Blackfriar’s project
